How a machine shop actually makes money
A job shop sells machine hours with material and skill wrapped around them. Revenue is the product of available spindle hours, how many of those hours are billable, and the effective rate the shop achieves on them. Profit is what survives after material, labor, tooling, and the overhead of keeping expensive machines and expensive people ready for work that arrives unevenly.
That structure has three consequences a buyer should internalize. First, quoting is the profit engine. A job priced on optimistic cycle times consumes hours you cannot recover, and by the time it shows up in the annual financials the damage is done. Shops that price well are usually shops where one experienced person quotes carefully — and that person is frequently the owner who is leaving. Second, utilization drives everything. A shop at eighty percent capacity has limited organic upside without capital or a second shift; a shop at forty percent has room but you should understand why the room exists. Third, setup time is the hidden variable. Short-run, high-mix work carries far more setup per billable hour than long production runs, so two shops with identical revenue can have very different margins depending on their job mix.
The better shops move up this ladder over time: from simple prints and low-mix parts, to tight-tolerance and multi-axis work, to full-service programs with inspection, assembly, finishing, and managed inventory. Each step raises the rate a customer will pay and makes the shop harder to replace.

Find out who the top customers are, what share each represents, whether the relationship belongs to the owner or to a staying employee, and whether the work runs on purchase orders or on anything resembling a contract. Most job shop revenue is PO-based and therefore not committed to you after closing.
- Approved-supplier status — many industrial and aerospace customers maintain qualified-supplier lists, and a change of ownership can trigger re-qualification. Ask directly whether that is the case for the largest accounts, and get the answer from the customer, not only from the seller.
- Equipment list with age, hours, and service history — machine by machine. - Capacity and utilization — how many spindle hours exist, how many are billed, how many shifts run, and where the bottleneck sits. This tells you whether growth requires capital, people, or just more work.
- Quoting and job costing records — quoted versus actual hours by job, if the shop tracks it. A shop that measures this is a better-run shop, and the data tells you immediately whether estimates are systematically optimistic.
- Certifications and their audit calendar — ISO 9001, AS9100 for aerospace, IATF 16949 for automotive, plus ITAR registration where defense-related technical data is involved and any cybersecurity obligations attached to government work. Verify each is current, learn when the next surveillance audit falls, and confirm transferability on a change of control.
- People — machinists, programmers, the foreman, and the estimator. This is a persistently tight labor market, and a shop that loses two experienced machinists loses capacity it cannot quickly rebuy. Understand tenure, pay relative to the local market, and who is genuinely load-bearing. Talk about retention packages before closing rather than after.
- Environmental and safety — coolant, oils, solvents, chip and swarf handling, waste disposal records, air permits where applicable, and OSHA history including machine guarding and lockout-tagout. Where you are acquiring real estate, a Phase I environmental assessment is standard and worth doing properly.
- Quality history — scrap and rework rates, customer corrective action requests, and on-time delivery performance. Poor delivery performance is often the real reason a customer is quietly moving work elsewhere, and it will not be volunteered.
- Backlog and open orders — what is actually booked at closing, and how that compares to the same point in prior years. A thin backlog behind a strong trailing year deserves an explanation.
